Terms of Service

These terms are an agreement between you and PROVE-AM LTD (RC 9881252), a company registered in Nigeria ("Proveam", "we", "us"). They apply when you use Proveam in any way: by sending us a message on WhatsApp, by receiving a receipt from us, or by using our website or the pages we send you links to.
If you don't agree with these terms, please don't use Proveam. By recording a sale, or by continuing to use Proveam after receiving a receipt, you agree to them.
1. What Proveam is
Proveam keeps a shared record of sales, credit, installments and payments between businesses and their customers. When a seller records a sale or payment, the customer gets a numbered receipt, and both sides can look at the same record later.
What Proveam is not:
- Not a lender, bank or payment service. We don't lend money, hold money, or move money between sellers and customers. Payments happen between you, the way they always have.
- Not a tax document. A Proveam receipt is a record of sale. It is not a tax invoice, a VAT invoice or a fiscal document under Nigerian tax law. Sellers remain responsible for their own tax obligations.
- Not a judge of disputes. We record what a seller tells us and whether the customer said it was wrong. We don't decide who is right in a disagreement, and we don't collect debts.
- Not a check on goods or sellers. We don't inspect, guarantee or stand behind anything sold, or the people selling it.
2. Your phone number is your account
- Proveam identifies you by your phone number (and, on WhatsApp, the account linked to it). There's no separate password.
- Keep your phone and WhatsApp account secure. Anything sent from your number is treated as coming from you.
- Links we send you (to your dashboard or your receipts) are for you. Don't share them; anyone with a link can open that page until it expires.
- If you change or lose your number, tell us at the contact details below.
3. If you sell with Proveam
You agree to:
- record only real sales and payments, with real customers, accurately and honestly;
- only add a customer's phone number when that customer has agreed to receive receipts from you;
- use a business name that is yours, and not pretend to be another business, Proveam, or a platform such as WhatsApp or Meta;
- not record sales or payments to yourself, or create records to make your business look bigger than it is;
- send payment reminders only to customers who genuinely owe you, and not use Proveam to harass anyone;
- keep any details you add to your receipts (such as your address or tax number) true and up to date;
- comply with the laws that apply to your business, including tax, consumer protection and data protection laws.
Records are never edited. A mistake is corrected by cancelling the record, which sends the customer a correction receipt. The original stays in the record, marked as corrected. This is what makes the record something both sides can rely on.
You're responsible for what you record. If a record you made causes a loss to someone else, you are responsible for it, not Proveam.
4. If you receive receipts
- Receipts are free for customers. You don't need to download anything or sign up.
- If a receipt is wrong, tap Not correct. We tell the seller and keep a note of it against that receipt. Sorting out the disagreement is between you and the seller.
- Reply STOP at any time to stop receipts, and START to turn them back on.
- You can see every receipt issued to your number, from every seller, by asking us (for example, by texting records).
5. Subscription and fees (sellers)
- Free trial: 7 days, starting from your first recorded sale. No card needed.
- After the trial: ₦500 a month, or the price shown when you pay, plus a payment processing fee shown at checkout.
- Paying: you pay one month at a time, in advance, through our payment provider. Nothing renews automatically; we remind you before your month ends.
- If you don't pay: you can still record sales and see balances. Receipts to your customers and your monthly insights pause until you pay again. Nothing you recorded is deleted.
- Refunds: payments for a month that has started aren't refunded, except where the law requires it.
- Price changes: we'll tell you at least 30 days before a price change takes effect. A change never affects a month you've already paid for.
Customers never pay Proveam. Your mobile network may charge for the data you use.
6. Messages we send
- To customers: the only messages we start are receipts, and payment reminders a seller asks us to send. Everything else is a reply to something you sent us.
- To sellers: confirmations of what you recorded, alerts when a customer says a receipt is wrong, and reminders about your subscription.
- We send messages through WhatsApp and may later use SMS or email. Those services are run by other companies, and we can't guarantee every message is delivered.
7. Who can see a record
- A seller sees the records they made. A customer sees the records made against their own number, from every seller.
- Nobody else sees your record. In future, a business or lender may ask to see your history. It will only be shown if you are asked and agree, each time.
- How we collect, use and protect personal information is explained in our Privacy Policy.
8. Things you must not do
Don't use Proveam to:
- record anything illegal, false or misleading;
- send spam, or message people who didn't agree to hear from you;
- pretend to be someone else;
- try to access records, accounts or systems that aren't yours, or test our security without our written permission;
- copy, scrape or resell the service or its data;
- interfere with how Proveam works for anyone else.
9. Service providers and automated tools
We use trusted service providers to run Proveam, including Meta (WhatsApp) for messages, our payment provider, and our hosting providers. We may also use automated tools, including AI, to help us read messages we can't otherwise understand. When we do, we always show you what we understood, and nothing is recorded until you confirm it.
10. Availability
We work to keep Proveam available and your records safe, but the service is provided "as is". It may sometimes be unavailable, for example for maintenance or when WhatsApp or another provider has problems.
11. Your content and ours
- Yours: what you send us (sales, customer names, your logo and business details) remains yours. You allow us to store it, use it to run Proveam, and show it to the people each record involves. For the other party's sake, a record stays available to them even if you stop using Proveam, as explained in our Privacy Policy.
- Logos: you must have the right to use any logo you upload.
- Ours: the Proveam name, service, software and design belong to PROVE-AM LTD.
12. Limits on our responsibility
To the extent the law allows:
- we're not responsible for disagreements, losses or debts between sellers and customers, or for mistakes in records that users entered;
- we're not responsible for losses caused by other companies' services (such as WhatsApp or network outages) or by someone using your phone;
- our total responsibility to a seller for any claim is limited to the subscription fees you paid us in the 12 months before the claim.
Nothing in these terms takes away rights you have under Nigerian law that can't be excluded, including under the Federal Competition and Consumer Protection Act and the Nigeria Data Protection Act.
13. Suspending or ending your use
- You can stop using Proveam at any time.
- We may suspend or stop your use of Proveam, without refund, if you break these terms, use Proveam for fraud or abuse, or if the law requires it. Where it's safe to, we'll tell you why.
- Records already made stay part of the other party's record, as described in our Privacy Policy.
14. Changes to these terms
We may update these terms. We'll post the new version here with a new date and, for important changes, let sellers know by message before they take effect. If you keep using Proveam after a change takes effect, the new terms apply.
15. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If you have a problem with Proveam, please contact us first so we can try to sort it out. If we can't, the courts of Nigeria will decide.
